FiGGZO LLC – Seller, Reseller & Wholesale Policy

1. Overview
FiGGZO LLC (“FiGGZO,” “we,” “us,” or “our”) is an American apparel and accessories brand based in Missouri. This Policy governs authorized resellers and distributors, influencer and brand partnership programs, wholesale accounts and related terms, as well as fraud prevention and chargeback procedures. By participating in any FiGGZO reseller, influencer, or wholesale program, you agree to comply with the terms outlined in this Policy.

2. Authorized Resellers
FiGGZO strictly controls the distribution of its products, and only authorized resellers may sell FiGGZO merchandise online or offline. Resellers must register and obtain written approval from FiGGZO before offering any products for sale. Unauthorized sales may result in legal action, including injunctions and claims for damages. Authorized resellers are required to follow all brand guidelines, including proper use of FiGGZO trademarks and logos, accurate and truthful product descriptions, and compliance with FiGGZO’s pricing policies, including any applicable Minimum Advertised Price (MAP) requirements.

3. Influencer & Brand Partnerships
Influencers and brand partners must apply and receive approval from FiGGZO prior to promoting any products. Approved influencers are responsible for providing authentic and accurate promotion, properly disclosing paid sponsorships in accordance with FTC guidelines, and avoiding any misrepresentation of FiGGZO products or brand identity. Violations of these requirements may result in immediate termination of the partnership and potential legal claims.

4. Wholesale Program
Wholesale accounts are available to verified businesses, retailers, and approved resellers. Applicants must provide valid business registration documentation, tax identification, or a resale certificate for verification. FiGGZO reserves the right to approve or deny wholesale applications at its sole discretion, and approval is contingent upon confirmation of business legitimacy and compliance with brand and marketing standards. Wholesale pricing is determined by FiGGZO and products may not be resold below the agreed Minimum Advertised Price. Payment terms are predefined and may include credit card, PayPal, Apple Pay, Google Pay, or Net 30 terms for qualified accounts where applicable. Minimum order quantities may apply, and shipping fees and responsibilities are communicated at checkout. International wholesale orders may be subject to customs duties, import taxes, and local regulations.

5. Returns & Exchanges for Resellers
Authorized resellers may return defective or damaged products within fourteen days of delivery, provided items remain in original packaging with all tags and accessories included. Replacement or exchange items will be shipped after inspection, and international return shipping fees may apply. Final sale, clearance, and promotional items are non-refundable.

6. Fraud & Chargeback Prevention
FiGGZO maintains strict anti-fraud protocols and verifies all orders using billing, shipping, and identity checks. Suspicious or high-risk transactions may be held for review, canceled, or investigated. Unauthorized chargebacks or fraudulent activity may result in account suspension or termination, legal action to recover financial losses and damages, and permanent exclusion from future FiGGZO programs.

7. Intellectual Property & Branding Compliance
Resellers and partners may only use FiGGZO logos, product images, and brand assets with prior written approval. Unauthorized reproduction, modification, or misuse of FiGGZO intellectual property is strictly prohibited. Violations of trademark, copyright, or branding guidelines may result in immediate termination of reseller or partnership agreements and potential legal enforcement.

8. Termination of Agreement
FiGGZO reserves the right to terminate reseller, wholesale, or influencer accounts at any time, with or without cause. Grounds for termination include violation of this Policy, fraudulent or illegal activity, non-compliance with brand, marketing, or pricing guidelines, and failure to meet payment or order obligations. Accounts terminated for cause may not be reinstated, and FiGGZO reserves the right to pursue all available legal remedies.
